1. Introduction

1.1 Welcome to the Chewee Platform Program (the “Program”). This program is an additional service provided by Chewee and its affiliates and subsidiaries (“Chewee”) where Chewee-registered Sellers are based in Indonesia (“Indonesian Sellers”) listing goods for sale on or through a website (“Indonesian Sites” ) through the stores on the Indonesian Site (the “Indonesian Stores ”) may simultaneously list their products on and through the website, and mobile applications, or other internet domain properties of Chewee or its affiliates (hereinafter collectively referred to as the “Chewee Sites”). These Terms of Service of the Chewee Platform are intended to cover the activities provided by Chewee to Indonesian Sellers under this Program including, but not limited to, collecting, reconciling and executing all transactions between Indonesian Sellers and buyers under this Program. If you are an Indonesian Seller, you will be deemed to have agreed to the terms and conditions of the Chewee Platform Terms of Service and other Chewee Policies, of which these Chewee Platform Terms of Service are a part, with your continued participation. in the Program. These Chewee Platform Terms of Service complement Chewee’s other Terms of Service and Policies – please read the other Chewee Terms of Service and Policies available on the Site as they contain important information regarding your rights and obligations. Any terms used in the Chewee Platform Terms of Service that are not defined herein will have the meaning given to them in the applicable Chewee Terms of Service and/or Policies. All terms and conditions described in these Chewee Platform Terms of Service are subject to change at Chewee’s discretion in accordance with the Terms of Service.

1.2 Chewee reserves the right to change, modify, suspend or discontinue all or any part of the Program at any time or with notice as required by local law, Chewee may release certain services of the Program or its features in beta, which may not function properly. or in the same way as the final version, and we will not be held liable in that respect. Chewee may also restrict certain features or restrict your access to part, or all of, the Program in its sole discretion and without notice or liability.

1.3 If you wish to leave the Program, you must write to cs@chewee.co.id. Once we receive your email or call, we will proceed to remove your listing from the Chewee Site. Please note that it can take up to 2 days to remove all of your listings from the Chewee Site and you must continue to fulfill orders made during this period.

1.4 In the event of any discrepancy between the provisions of the Chewee Policy and these Chewee Platform Terms of Service, these Chewee Platform Terms of Service will continue in effect.

2. Sales of goods at Chewee.co.id

2.1 After the sale of items under this Program on the Chewee.co.id Site:

Chewee will collect the Listing Price from the buyer; and

Chewee will send the Indonesian Listed Price to the Seller in Indonesian Rupiah (less applicable fees, charges, commissions and other discounts).

2.2 Orders are subject to reasonable examination by Chewe and Chewee may reject any order that does not conform to the requirements under Chewee’s standard requirements or reasonably believes to be fraudulent or in violation of Chewee’s Terms of Service or Policies.

3. Liability, Representations and Guarantees

3.1 Nothing in these Terms of Service of the Chewee Platform releases Indonesian Sellers from any obligations, obligations, representations or warranties to buyers in accordance with the Terms of Service, Chewee Policies or by law in relation to their products.

3.2 For the avoidance of doubt, any fees applicable to Indonesian Sellers as set out in Chewee’s Terms of Service and Policies, will continue to apply.

3.3 You also warrant that the listings available on the Affiliate Platform will not infringe the copyright, trademark or other intellectual property rights of third parties and the publication and distribution of the lists on the Affiliate Platform will not infringe the rights of any third parties.

3.4 You agree to indemnify, defend and hold harmless Chewee, and its shareholders, subsidiaries, affiliates, directors, officers, agents, brand associates or other partners, an employee (collectively, the “Indemnified Parties”) from and against any and all claims, actions, proceedings, and suits and all related liabilities, damages, settlement penalties, fines, costs and expenses (including, without limitation, other dispute resolution costs) incurred by the Covered Party for Losses arising out of or relating to with: (a ) any transaction entered into on the Chewy Site, or any dispute relating to such transaction, (b) Chewee Guarantee, (d) your breach or breach of any provision of these Chewee Platform Terms of Service or any policy guidelines that referenced herein, (e) your use or misuse of any Service, (f) your violation of any law or any rights of a third party, or (g) Any content you upload.
